BUSINESS ETHICS
Hayward is committed to conducting business in an ethical manner.
To enable sound corporate governance, we outline our expectations for all Hayward employees and directors in
our Code of Ethics and our
Corporate
Governance Guidelines. All Hayward employees recertify their understanding of our Code of Ethics on
an annual basis. In 2021, we launched a global ethics reporting platform to monitor any cases of ethics
risk.
Our approach and strategy to sustainability matters are governed by Hayward's Sustainability Steering Committee, which is
comprised of members of the Senior Leadership Team and is overseen by the Nominating and Corporate
Governance Committee of the Board.
BOARD DIVERSITY & INDEPENDENCE
Our directors' comprehensive set of skills and diverse backgrounds are designed to enable effective
oversight of our business strategy and our corporate governance practices. Our directors consist of individuals with a diversity of gender, ethnicity, skills and experiences,
with women and ethnically diverse individuals representing approximately 25% of our board of directors.
Diversity is paramount to the success of our business. Our Nominating
and Corporate Governance Committee charter specifically states that the Committee is committed
to promoting diversity, including diversity of gender, race, ethnicity and age and inclusion in its
selection practices and shall consider all candidates for director on the basis of their skills,
qualifications and experience.
